Terms and Conditions

Welcome to Leap Digital (Pty) Ltd (“Leap Digital,” “we,” “us,” or “our”). These Terms and Conditions govern your access to and use of our services, website, and other digital marketing offerings (collectively, the “Services”). By engaging with our Services, you agree to these Terms and Conditions in full. If you disagree with any part of these Terms and Conditions, you must not use our Services.

1. Definitions

1.1 “Client” refers to the individual or entity engaging Leap Digital for Services.
1.2 “Agreement” refers to these Terms and Conditions, including any written contracts, proposals, or invoices.
1.3 “Services” refers to the digital marketing services offered by Leap Digital, including but not limited to SEO, website design, social media management, content creation, and other related services.

2. Scope of Services

2.1 Leap Digital will provide the Services as outlined in the Client’s proposal or contract.
2.2 We reserve the right to subcontract certain aspects of the Services to trusted third-party providers.
2.3 Changes to the agreed scope of work must be requested in writing and may incur additional fees.

3. Fees and Payments

3.1 Payment terms will be specified in the relevant invoice or proposal.
3.2 All fees are due and payable as per the agreed schedule. Late payments may incur interest at 2% per month or the maximum rate permitted by South African law, whichever is lower.
3.3 Leap Digital reserves the right to suspend Services in the event of non-payment.
3.4 All fees quoted exclude VAT unless expressly stated otherwise.

4. Client Obligations

4.1 The Client agrees to provide all necessary information, access, and approvals required for the timely delivery of Services.
4.2 The Client warrants that any material provided does not infringe third-party intellectual property rights.

5. Intellectual Property

5.1 Any original content or materials created by Leap Digital for the Client will become the Client’s property upon full payment of all fees.
5.2 Leap Digital retains the right to use generic templates, tools, or know-how developed during the project for future projects.

6. Confidentiality

6.1 Both parties agree to maintain the confidentiality of proprietary information disclosed during the Agreement.
6.2 This clause survives the termination of the Agreement.

7. Warranties and Disclaimers

7.1 Leap Digital will perform the Services with reasonable skill and care.
7.2 We make no warranties regarding specific results or the performance of third-party platforms.
7.3 The Services are provided “as is” and “as available,” and we disclaim all implied warranties to the maximum extent permitted by South African law.

8. Limitation of Liability

8.1 Leap Digital’s liability for any claim arising under this Agreement is limited to the amount the Client has paid for the Services in the preceding six months.
8.2 Leap Digital is not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or profits.

9. Termination

9.1 Either party may terminate this Agreement by providing 30 days’ written notice.
9.2 Leap Digital reserves the right to terminate the Agreement immediately if the Client breaches these Terms.
9.3 Upon termination, all outstanding fees become immediately due and payable.

10. Governing Law and Jurisdiction

10.1 These Terms and Conditions are governed by the laws of the Republic of South Africa.
10.2 Any disputes will be resolved in the courts of South Africa.

11. Force Majeure

Leap Digital will not be liable for delays or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, strikes, or technical failures.

12. Amendments to Terms

12.1 Leap Digital reserves the right to amend these Terms and Conditions at any time.
12.2 Clients will be notified of significant changes via email or a notice on our website.
